Agreement to Terms

These Terms of Service (“Terms”) govern your use of ENlibris, a product of Ebon et Noir LLC (“we,” “us,” “our”). By creating an account or using the service at www.enlibris.com, you agree to be bound by these Terms. If you do not agree, do not use the service.

Service Description

ENlibris is a book cataloging and marketplace listing platform designed for antiquarian and collectible book sellers. The service provides:

• AI-powered book cataloging from photographs (title, author, publisher, edition, condition, and other metadata extraction).
• Listing management across third-party marketplaces including eBay, Etsy, Shopify, AbeBooks, Biblio, and Alibris.
• Social media posting to connected accounts on Instagram, Facebook, Tumblr, and X (Twitter).
• Inventory tracking, pricing tools, and data export.

Accounts and Access

You must create an account to use ENlibris. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete registration information.
• Notify us promptly if you suspect unauthorized access to your account.
• Not share your account credentials or allow others to access your account.

We may suspend or terminate your account if we reasonably believe you have violated these Terms.

Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable laws or regulations.
• List counterfeit, stolen, or misrepresented items through the service.
• Attempt to gain unauthorized access to the service, other accounts, or connected systems.
• Interfere with or disrupt the service or its underlying infrastructure.
• Use the service to send spam, unsolicited messages, or misleading content through connected social media accounts.
• Reverse-engineer, decompile, or attempt to extract the source code of the service.
• Resell, sublicense, or redistribute access to the service without our written consent.

Your Content and Data

You retain ownership of all book data, photographs, descriptions, and other content you upload to ENlibris (“Your Content”). By using the service, you grant us a limited license to:

• Store, process, and display Your Content as necessary to provide the service.
• Transmit Your Content to third-party marketplaces and social media platforms you have connected, on your behalf and at your direction.
• Send book photographs and extracted text to AI services (Google Vertex AI) for metadata extraction, classification, and content generation.

This license terminates when you delete Your Content or close your account, except for content already published to third-party platforms, which is governed by those platforms' terms.

You represent that you have the right to upload and share all content you provide to the service, and that Your Content does not infringe the intellectual property rights of any third party.

Third-Party Marketplace and Social Media Integrations

ENlibris connects to third-party marketplaces and social media platforms using their APIs. When you connect an external account:

• You authorize ENlibris to act on your behalf within the scope you approve (e.g., creating listings, publishing posts, reading shop data).
• You remain bound by each platform's own terms of service, seller policies, and community guidelines. It is your responsibility to comply with those terms.
• We do not guarantee uninterrupted access to any third-party platform. API changes, rate limits, or policy changes by those platforms may affect service availability.
• You may disconnect any third-party account at any time through your ENlibris settings. Disconnecting revokes our access and deletes stored credentials for that platform.
• Listings, posts, and other content published to third-party platforms become subject to those platforms' terms. Deleting content within ENlibris does not automatically remove it from external platforms.

AI-Generated Content

ENlibris uses artificial intelligence (Google Vertex AI / Gemini) to generate book descriptions, classifications, condition assessments, and social media captions. Regarding AI-generated content:

• AI-generated content is provided as a starting point. You are responsible for reviewing and editing all AI-generated text before it is published to any marketplace or social media platform.
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content. Descriptions may contain errors in attribution, dating, edition identification, or condition assessment.
• You are solely responsible for the accuracy of your listings and posts, including any AI-generated content you choose to publish.
• Book photographs and text sent to Google Vertex AI for processing are subject to Google Cloud's terms of service.

Intellectual Property

The ENlibris service, including its software, design, logos, and documentation, is owned by Ebon et Noir LLC and protected by copyright and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without our prior written consent. All rights not expressly granted in these Terms are reserved.

Fees and Payment

ENlibris is currently provided as an invite-only service. If we introduce paid plans or change pricing, we will notify you at least 30 days in advance. Continued use of the service after a pricing change constitutes acceptance of the new terms. Any fees charged by third-party marketplaces (e.g., eBay listing fees, Etsy transaction fees) are your responsibility and are governed by those platforms' terms.

Service Availability

We strive to keep ENlibris available and reliable, but we do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue any part of the service at any time with reasonable notice. Scheduled maintenance, third-party API outages, and events beyond our control may cause temporary interruptions.

Limitation of Liability

To the maximum extent permitted by law, Ebon et Noir LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of ENlibris, including but not limited to:

• Lost revenue or profits from marketplace listings that fail to publish, contain errors, or are removed by third-party platforms.
• Inaccuracies in AI-generated content, including incorrect edition identification, pricing suggestions, or condition assessments.
• Actions taken by third-party marketplaces or social media platforms, including account suspensions, listing removals, or policy changes.
• Loss of data due to service interruptions, account termination, or technical failures.

Our total liability for any claim arising from the service shall not exceed the amount you paid us, if any, in the twelve months preceding the claim.

Disclaimer of Warranties

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet your requirements, that AI-generated content will be accurate, or that third-party integrations will remain available.

Indemnification

You agree to indemnify, defend, and hold harmless Ebon et Noir LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the service, (b) your violation of these Terms, (c) your violation of any third-party rights, including marketplace or social media platform terms, or (d) content you publish through the service.

Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the service at any time for violation of these Terms or for any other reason with reasonable notice, except that we may terminate immediately for:

• Violations of the Acceptable Use provisions above.
• Fraudulent or illegal activity.
• Actions that jeopardize the security or integrity of the service or other users' data.

Upon termination, your right to use the service ceases immediately. We will retain your data for 30 days after termination to allow you to request an export. After 30 days, your data may be permanently deleted. Content already published to third-party platforms is not affected by account termination.

Privacy

Your use of ENlibris is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the service at least 14 days before the changes take effect. Continued use of ENlibris after the effective date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the service.

Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the service shall be resolved in the state or federal courts located in Ohio.

Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
